Terms and Conditions of Sale.

Article 1: Purpose and Scope

These Terms and Conditions of Sale (the "Terms") govern the sale of Learning Expeditions organized by UDI Africa, a limited liability company (SARL) with a capital of MAD 100,000, registered with the Rabat Trade Register under no. 161887, ICE no. 003096415000028, IF no. 52586314, with registered office at Amal 5, Al Massira n°669, 1st Floor, CYM, 10000 Rabat, Morocco (hereinafter "UDI Africa" or the "Organizer").

A Learning Expedition (the "LE" or the "Expedition") is a short-term professional immersion programme held in Morocco for executives and managers of French-speaking European companies, including accommodation, meals, local transfers, site visits and professional meetings, excluding international air travel.

Registration for a Learning Expedition implies full and unreserved acceptance of these Terms by the Client, who acknowledges having read them prior to finalizing their booking.

Article 2: Format and Capacity

Learning Expeditions are offered in two formats:

• Multi-company format: places sold individually, with a group composed of participants from several companies, capacity of 15 to 24 participants depending on the edition;
• Private format: the Expedition reserved in full by a single company, up to 30 participants.

Each edition has its own programme page, available at udiafrica.com, specifying the dates, theme, meeting point, detailed programme and applicable price.

Article 3: Price

The price of each Learning Expedition is shown in euros, all taxes included (VAT-inclusive), including Moroccan VAT at the applicable rate, on the programme page of the relevant edition.

The price includes:

• accommodation for the duration of the programme;
• meals and beverages included in the programme;
• local transfers and shuttles;
• visits, meetings and activities listed in the programme;
• the organization and facilitation of the programme by UDI Africa.

The price does not include:

• international air travel to and from the meeting point in Morocco;
• personal expenses;
• any service not explicitly mentioned in the programme of the relevant edition.

Prices are fixed for the relevant edition from the date of publication until registration for that edition closes.

Article 4: Payment Terms

Payment is made in two instalments:

• a deposit of 50% of the total price, due upon confirmation of registration, no later than three (3) months before the start date of the Expedition;
• the balance, due no later than fifteen (15) days before the start date of the Expedition.

For any registration made less than three (3) months before the start of the Expedition, the full price is due in a single payment upon confirmation of registration.

Payment is made by bank transfer to the account details provided by UDI Africa on the invoice. An invoice is issued for each payment received.

Failure to pay the balance within the specified timeframe entitles UDI Africa to cancel the Client's registration, with the deposit already paid retained by UDI Africa in accordance with Article 5.

Article 5: Confirmation and Cancellation of an Edition by UDI Africa

Each edition is subject to a minimum threshold of ten (10) registered participants who are up to date on their deposit payment.

UDI Africa will communicate its decision to proceed with or cancel an edition (the "go/no-go" decision) no later than three (3) months before the start date of the Expedition, based on confirmed registrations as of that date.

If the minimum threshold is not reached by the go/no-go date, UDI Africa may:

• cancel the edition, in which case deposits already paid are fully refunded to registered participants, with no further compensation;
• or offer registered participants a transfer to a later edition on the same theme, subject to each participant's agreement.

UDI Africa may also cancel or postpone an edition in the event of force majeure, as defined in Article 9 of these Terms, without its liability being engaged beyond the reimbursement of amounts paid by the Client for the cancelled edition.

UDI Africa shall not be held liable for air travel costs or any other costs incurred by the Client outside the services invoiced by UDI Africa, in the event of cancellation or postponement of an edition.

Article 6: Cancellation by the Client

Any cancellation request must be submitted in writing (email) to UDI Africa's contact address.

Cancellation terms at the Client's initiative are as follows:

• cancellation more than three (3) months before the start of the Expedition: full refund of amounts paid;
• cancellation between three (3) months and fifteen (15) days before the start of the Expedition: the 50% deposit is retained by UDI Africa, any balance paid is refunded;
• cancellation less than fifteen (15) days before the start of the Expedition, or participant no-show: no refund due.

The Client may at any time be replaced by another person from the same company, provided UDI Africa is notified in writing no later than five (5) business days before the start of the Expedition, at no additional cost.

Article 7: Programme Delivery and Liability

UDI Africa undertakes to use all necessary means to properly deliver the programme as presented on the relevant edition's programme page. The detailed programme (schedule, speakers, visit locations) may be subject to minor adjustments for operational reasons, without affecting the overall balance of the Expedition.

Certain visits (notably to industrial or sensitive sites) are subject to UDI Africa obtaining access authorization from the relevant entities. If authorization is not obtained, UDI Africa reserves the right to substitute the relevant visit with an equivalent service, without the Client being entitled to a partial refund on this basis.

Each participant is responsible for holding valid travel documents (passport, visa where applicable) and adequate travel and repatriation insurance for their trip to Morocco. UDI Africa strongly recommends taking out such insurance and shall not be held liable in the event a participant lacks such coverage.

UDI Africa's liability shall not be engaged for any damage resulting from the act of a third party, a case of force majeure, or a participant's failure to follow instructions communicated before or during the Expedition.

Article 8: Intellectual Property

The content of programme pages, presentation materials and documents provided to participants is the property of UDI Africa or its partners and may not be reproduced or distributed without prior written authorization.

Article 9: Force Majeure

Neither party may be held liable for failure or delay in performing its obligations resulting from a case of force majeure, including but not limited to: natural disaster, epidemic, government decision, border closure, strike affecting transport, or any event beyond the reasonable control of the party concerned.

Article 10: Personal Data

Personal data collected at registration (identity, contact details, company information) is processed by UDI Africa solely for the purposes of managing the registration, organizing the Expedition, and the business relationship.

In accordance with applicable personal data protection regulations, the Client has the right to access, rectify and delete data concerning them, which may be exercised by writing to UDI Africa's contact address. Details of processing operations are set out in our Privacy policy.

Article 11: Governing Law and Disputes

These Terms are governed by Moroccan law. In the event of a dispute relating to their interpretation or performance, the parties will endeavour to reach an amicable resolution. Failing an amicable agreement, the courts of Rabat shall have exclusive jurisdiction.
